The following Terms of Service ("ToS") govern all use of the www.happynumbers.com website, including happynumbers.com/blog (the "Website") and all content, services, features, activities, and products available through the Website, including interactive Mathematics lessons, Happy Printables, and Happy Letters (collectively, the "Services").

The Services are provided by Happy Numbers Inc., a Delaware corporation with its principal place of business at 2261 Market Street STE 22178, San Francisco, CA 94114, USA.

By using the Services, you agree to these Terms and our Privacy Policy, which is available at https://happynumbers.com/privacy-policy.

Important: If you do not agree with all terms and conditions in these Terms or Privacy Policy, please do not use the Website or Services.

1. Your Responsibility for Internet Access

To use the Website, you must gain access to the Internet, either directly or through devices that access web-based content, and pay any service and/or telephony fees associated with such access.

You are responsible for obtaining and maintaining all necessary consents, licenses, and relevant filings and settings for the Website and/or intellectual property rights connected to any Services for your use. You shall ensure that the Services are not utilized in a manner that violates any applicable laws, regulations, or third-party rights, including intellectual property rights, or that incites or facilitates such violations.

2. Customer Accounts

To access most of the Services, you may need to create an account. By creating an account, you affirm that:

  • You meet the eligibility requirements;

  • Your personal information is accurate, current, and not misleading;

  • You are authorized to access and use the Services in accordance with applicable laws and regulations.

User accounts may be created by individuals who are 18 years or older, or of legal age in their country of residence if it exceeds 18, or who are below the legal age and older than 13 but authorized by their parents or legal representatives.

You are responsible for maintaining the confidentiality of your account, login, and password and for any activity that occurs through your account.

3. Pricing

Happy Numbers offers both free and paid licenses. The free (basic) license allows teachers to create student accounts and use the platform in the classroom, but access to reports and certain features is limited. Paid licenses extend functionality with advanced reporting and additional tools designed for teachers, schools, and districts.

All license types include access to the teacher dashboard, where student accounts can be created to engage with interactive educational activities.

3.1 Refund Terms

Pre-Access Cancellation: If Happy Numbers is unable to complete the rostering process and provide access credentials to teachers, you will receive a full (100%) refund.

Post-Access Cancellation: If access credentials have been successfully provided, refund requests made within the first 3 months may be granted at our discretion, with a 20% administrative fee retained to cover employee resources, development costs, server expenses, and actual platform usage.

4. Supervising Children

Happy Numbers is concerned about the safety and privacy of all its users, particularly children. Parents, legal representatives, or teachers should assist children in accessing the Services and supervise their use of the Website.

Happy Numbers acknowledges that students' personally identifiable information remains under the direct control of parents and the school.

4A. Educational Data Privacy and FERPA Compliance

Happy Numbers is committed to protecting student privacy and complying with the Family Educational Rights and Privacy Act (FERPA) and California's Student Online Personal Information Protection Act (SOPIPA). We understand our responsibility as an educational service provider to maintain the highest standards of data protection for students, teachers, and educational institutions.

When used in educational settings, Happy Numbers operates under strict privacy guidelines. We do not engage in targeted advertising to students, nor do we use student data for any commercial purposes unrelated to education. All student information collected through our Services is used solely for legitimate educational purposes such as providing personalized learning experiences, generating educational reports for teachers and administrators, and improving our educational content and functionality.

We implement comprehensive security measures designed to protect student information from unauthorized access, use, or disclosure. These measures include technical safeguards, administrative procedures, and security protocols that meet or exceed industry standards for educational technology providers.

In compliance with SOPIPA requirements, we do not knowingly sell student personal information to third parties, engage in targeted advertising based on student data, create personal profiles of students for non-educational commercial purposes, or disclose student information except as permitted by applicable educational privacy laws and with appropriate authorization from educational institutions.

School districts, teachers, and educational institutions using our Services represent and warrant that they have obtained all necessary authorizations and permissions to use our Services with student data in accordance with FERPA, state educational privacy laws, and their own institutional policies. Educational institutions remain the owners of all student data and maintain primary responsibility for ensuring compliance with applicable privacy regulations.

4B. Children Under 13 and Parental Consent

Happy Numbers takes the protection of children's privacy seriously and complies with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect, use, or disclose personal information from children under the age of 13 without obtaining verifiable parental consent, except where permitted by COPPA and other applicable laws.

In educational contexts where our Services are used under the school official exception to COPPA, we rely on schools to obtain any necessary parental consents and to provide appropriate notice to parents about the educational services being used. When we become aware that we have collected personal information from a child under 13 without proper authorization or parental consent, we take immediate steps to delete such information from our systems.

Parents and legal guardians have important rights regarding their children's information. They may review any personal information we have collected about their child, request that we delete their child's personal information, and refuse to permit further collection or use of their child's information. Parents may exercise these rights by contacting us directly or through their child's school or educational institution.

We encourage parents to discuss online safety and privacy with their children and to actively participate in their children's online educational activities. 5. Happy Numbers Leaderboard Rules and Conditions of Use

The Happy Numbers Leaderboard is an optional feature designed to promote positive classroom motivation and teamwork. During our testing phase, classes may be automatically enrolled in the Leaderboard by default, but teachers retain full control and can opt out at any time. By choosing to participate, the user agrees to the following terms:

5A. Feature Description and Data Use

The Leaderboard is strictly Class vs. Class and is not an individual student leaderboard. It displays the single, combined score of the entire class. The feature is completely anonymous. We never show your school name, teacher name, or your real class name. When you join a leaderboard, your class will be given a fun, anonymous name (e.g., "The Think Tank," "Class ABC"). The Leaderboard displays only the state-level location of participating classes, without any school, district, teacher, or student identifiers.

The Leaderboard uses aggregated data only. No individual student scores or personal information (PII) are ever calculated, displayed, or shared on the leaderboard.

The data used for the Leaderboard is used only for this feature. We never sell or share this data with any third parties for marketing or advertising purposes. Only authorized, logged-in users (other students and teachers) on our website can see the leaderboards.

5B. Teacher Control and Participation

This feature is optional and teachers have complete control over whether their class participates. Teachers can choose to have their class participate in the leaderboard, and they can join or leave at any time. During our testing phase, classes may be automatically enrolled, but teachers can opt out immediately upon notification or at any time thereafter. To opt out, teachers must email support@happynumbers.com. If a teacher chooses to opt-out, their class will be completely removed from all leaderboards. The class data will not be displayed, and the class will not be ranked.

5C. Fair Play and Enforcement

All participants agree to adhere to the following Fair Play Rules to maintain a fun and fair experience. All points should be earned fairly by completing activities as designed. Any attempt to manipulate scores, use bugs, or use automated scripts will result in your class being removed from the leaderboard. The leaderboard is for positive motivation, and we have a zero-tolerance policy for any unsportsmanlike conduct. Happy Numbers reserves the right to remove any class from the leaderboard or disable the feature for any class that violates these Fair Play rules.

6. Indemnification

You agree to indemnify and hold Happy Numbers and its subsidiaries, affiliates, licensors, licensees, officers, agents, co-branders, and other partners, employees, and contractors harmless from any liabilities, losses, damages, claims, penalties, fines, costs, and expenses, including, without limitation, reasonable legal fees, that may arise in connection with (i) your use of and access to the Website and Services, including, without limitation, any text, logo, graphic, image, video, music, or any multimedia file (the “Content”), as well as your connection to the Website; (ii) your, your children's, or a third party's failure to comply with any provision of the Terms of Service (ToS); or (iii) any claim by a third party that any other use of the Website by you or your children infringes any intellectual property or other proprietary or privacy rights of such third party, or has otherwise caused damage to a third party.

Happy Numbers' total liability for any claims arising from or related to Terms of Service or our services shall not exceed the amount paid by you (or on your behalf) for services during the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages: loss of profits, revenue, data, or business opportunities; service interruptions or data loss due to circumstances beyond our reasonable control; unauthorized access to or alteration of your data resulting from your failure to maintain security of your account credentials.

7. Modifications to Services

Happy Numbers reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website and the Services (or any part thereof) with or without notice. You agree that Happy Numbers shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Website. Although Happy Numbers will take reasonable care to ensure that the Content is up to date, any of the Content may be outdated at any given time, and Happy Numbers is under no obligation to update it.

Happy Numbers may add, delete, or modify some or all of the Services. In such cases, you will be notified by email of any changes and will be given the option to either continue using your account or terminate it.

8. Intellectual Property

All content displayed on or available through the Website is the exclusive property of Happy Numbers or used with express permission.

You acknowledge and agree that copyright, trademark, or other intellectual property rights infringement may result in legal action.

Happy Numbers grants you a limited, revocable, non-exclusive license to access the Website and Happy Printables to, as applicable, research, view, make legitimate inquiries or comments, and use Services and Happy Printables for personal purposes only, all in accordance with these ToS.

Permitted and Prohibited Uses

Any other use of the Website is expressly prohibited. Your license does not include any right to collection, aggregation, copying, duplication, display, or derivative use of the Website, nor any right to use data mining, robots, spiders, or similar data gathering and extraction tools without our prior written permission. However, a limited exception applies to general-purpose internet search engines and non-commercial public archives that use such tools solely to display hyperlinks to the Website, provided they operate from a stable IP address or range of IP addresses using an easily identifiable agent.

9. Prohibited Activities

You must not misuse the Website by knowingly introducing viruses, Trojans, worms, logic bombs, or other malicious or technologically harmful materials. You must refrain from attempting to gain unauthorized access to the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website. You must not attack our Website via a denial-of-service attack or a distributed denial-of-service attack.

Happy Numbers may report any such breach to the relevant law enforcement authorities, and Happy Numbers may cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website will cease immediately.

Happy Numbers will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful materials that may cause damage to your computer equipment, computer programs, data, or other proprietary materials due to your use of the Website or your downloading of any materials posted on it or on any website linked to it.

10. Disclaimers and Limitation of Liability

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. HAPPY NUMBERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

HAPPY NUMBERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE WEBSITE OR SERVICES.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Happy Numbers has been advised of the possibility of such damages.

IN NO EVENT SHALL HAPPY NUMBERS' TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO HAPPY NUMBERS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Happy Numbers is not responsible for any third-party content, links, or services accessed through the Website. Any reliance on such content is at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

16. Termination

We may suspend or terminate your access to the Website and Services at our sole discretion in case of breach of the Terms. Any suspected illegal, fraudulent, or abusive activity may be grounds for terminating your account and may be referred to the appropriate law enforcement authorities. Your right to use our Services will immediately cease upon suspension or termination. We reserve the right to remove or delete any information you may have on file with us, including any account or login information.

Account Deletion: Upon termination or if you request account deletion, we will delete your account and associated personal data in accordance with our Privacy Policy.

These ToS and all matters arising out of or relating to these ToS shall be governed by the substantive laws of the State of California, USA, without regard to its principles of conflicts of laws. Any disputes shall be subject to the exclusive jurisdiction of the courts of the State of California, USA.
